Notarised Corporate Documents for Foreign Shareholders and Investors: Common Questions
Documents sent abroad are usually rejected over sequence rather than substance, because each layer of certification must form one unbroken chain: the person certifying the signature, the person certifying the translation, and the authority at the destination that accepts that seal. This bank follows the order a file actually travels, so the first attempt is the one that clears.

Which documents need certification
Which corporate documents most often need signature certification?
Most common: a power of attorney for acts performed abroad, shareholder or board resolutions required at the destination, translated certificates of corporate standing, and account-opening papers for an overseas financial institution. All share one need: the destination wants proof that the signer is who they claim to be.
Must an overseas shareholder travel here to sign?
Not always. The alternative is signing before a competent certifying officer in the country where the person is, then running the document through the onward certification steps for use in Thailand. The trap is spelling: the name must match the passport exactly, since even a small variation forces the whole set to be redone.
Translate first or certify first?
It depends on the destination's requirement. The safer route is to complete the certification chain on the Thai original first, then prepare the translation and have it certified attached to that already-certified set, so the reviewer abroad sees every seal in one continuous file.
Can copies be used instead of originals?
Sometimes, if the copy is certified as a true copy by a competent person. But many destination bodies, company registries and banks in particular, still ask for a freshly issued original within a stated validity window. Confirm the document-age requirement before ordering copies.
How broadly should a power of attorney be drafted?
Narrow enough that the destination accepts it as covering the transaction, but not so wide that it becomes general authority. List the permitted acts one by one, name the counterparty or authority to be dealt with, and always set an expiry date; instruments without one tend to draw questions from bank compliance teams.
Order of certification and the seal chain
What is the usual order of certification?
The most common chain is: certification of the signer's signature first, then onward certification by the state's consular authority, then a further seal from the embassy or consulate of the destination country. Each layer certifies only the seal of the layer before it, so no step can be skipped.
How does an Apostille destination differ from one that is not?
Countries inside the Apostille system accept a single standard certificate in place of stacked legalisation, while those outside it still require the chain to run through the destination embassy. Check before starting which system the destination belongs to and in what form it accepts documents issued from Thailand.
How long does each layer take?
Signature certification is usually same-day when the signer attends with a complete file. The consular layer typically runs in working days. The embassy layer depends on each country's queue and opening days, and some accept submissions only on certain weekdays, so build most of your buffer around that step.
Must the documents be lodged in person at every layer?
The first layer, certifying the signature, always requires the signer to be present. Later layers can usually be handled by a representative with an authority letter and a copy of the principal's identification. Planning for the signer to execute every document in a single appointment avoids repeat trips.
What if the same set is needed in several countries?
Prepare multiple originals from the outset and run a separate chain for each country's requirements, because one embassy's seal is not valid for another. Photocopying a completed set for reuse is usually rejected, since the destination wants the seal impressed on the actual document.
Why files get rejected
Which mistakes force the whole set to be redone?
The three most frequent: a person's or company's name spelled differently across documents, a document date falling after the date of a prior certification, and handwritten corrections made on a document that has already been certified. Each breaks the seal chain and sends the file back to the first layer.
Which translations are refused?
Translations lacking a translator's declaration with contact details, translations that omit seals or stamped text on the original, and translations not bound to the source copy they were made from. These three are returned most often, because the reviewer cannot compare the text to the original within one file.
Do certified documents expire?
The certification itself carries no expiry, but destination bodies commonly accept only documents issued or certified within a recent window, most often measured in a few months. So do not run the chain far in advance of the date the document will actually be used.
What if the destination says a seal is not acceptable?
Ask the destination to state in writing which layer is not accepted and which one is required instead, since re-running the chain on a guess costs both time and a second set of fees. With the requirement in hand, restart only from the missing layer; in many cases the earlier seals still stand.
How far does this service go, and how is it priced?
We review the drafts against the destination's requirements before signing, sequence the certification chain, coordinate the consular and embassy layers, and assemble translations bound to the originals. Fees are scoped per case by the number of documents, the layers required, and the destination country, and are confirmed in writing before work starts.
Planning for investors
How far ahead of a closing should documents be prepared?
Start once the key commercial terms are agreed, because the embassy layer is the part of the timeline you cannot control. Allowing several weeks and gathering all signatures in one sitting keeps the closing date from slipping because one layer is still outstanding.
How does certification connect to the company's accounting and tax work?
Transactions that rely on certified documents, such as a capital increase from foreign shareholders, a share transfer, or a loan from a parent company, all have to be booked and affect that period's filings. Preparing the paperwork and the accounting treatment together prevents the statements and the legal documents from contradicting each other later.
Does a foreign shareholder need a Thai tax identification number?
It depends on whether there is income taxable in Thailand. Holding shares alone does not create the obligation automatically, but dividends, director remuneration, or gains on a share disposal bring it into scope. Assess case by case, alongside any applicable double tax agreement.
How should a completed certified set be kept for future use?
Keep the sealed originals together as one unsplit file, scan the entire set including every seal page as a reference copy, and record the date of each layer in an index at the front. At the next transaction you will know immediately which documents still fall inside the destination's accepted window and which must be reissued.
What if the shareholding changes after documents are certified?
Documents that recite the old structure cannot support a transaction occurring after the change. Obtain a current certificate and shareholder list, then re-run the chain only for the documents that cite that information. A power of attorney naming a specific person and scope generally remains usable while it is still within its term.
