Foreign Business License (FBL) vs Certificate (FBC): Foreign Business Act B.E. 2542 Roadmap
Foreign investors and finance teams preparing a Thai operating structure.
Quick answer
Classify the activities you will actually perform before choosing an FBL or FBC. List 1 has no ordinary licensing route; List 2 requires ministerial permission with Cabinet approval; List 3 requires the DBD Director-General and Foreign Business Commission. An FBC records a qualifying treaty or promotion entitlement. Capital is an activity-specific compliance test, not a universal company-incorporation amount. Separate legal eligibility from the accounting evidence needed to support it.

Detailed guidance
Start with revenue and contracts, not broad objects
Build an activity matrix identifying the customer, deliverable, invoicing entity and risk bearer. Manufacturing, trading and related-party services can receive different classifications even inside one group. A broad registered object does not confer permission to undertake every transaction.
Do not use nominal Thai shareholders to circumvent restrictions. Subscription payments, funding sources and control arrangements must reflect genuine investment. Have legal counsel examine sector-specific rules separately from the FBA; a permissible ownership percentage alone does not settle operating eligibility.
A licence and a certificate serve different purposes
An ordinary FBL involves permission under section 17. An FBC instead relies on an established entitlement, such as a treaty under section 11 or qualifying BOI/IEAT permission under section 12. Record the approved activity precisely: a certificate is not unrestricted permission to add new revenue streams.
For the ordinary List 2 route, section 15 normally requires at least 40% Thai capital and two-fifths Thai directors. A justified Cabinet-approved reduction cannot lower Thai capital below 25%. List 1 has no ordinary FBL route; any claimed section 10 exception and sector law require distinct legal analysis.
Minimum capital and a credible transfer plan
Registered capital, paid-up subscriptions and money brought into Thailand require different evidence. THB 3 million is a floor, not confirmation that funding is sufficient. Verify the expense-based ministerial calculation and applicable introduction timetable with DBD. Section 14 contains an exception for qualifying promoted business, but the promotion certificate can still impose investment and capital conditions.
A defensible technology-transfer plan names the skills Thai personnel will acquire, instructors, trainees, delivery schedule, budget and evidence of completion. It need not mean assigning patents. Preserve training records and monitor the reporting conditions actually attached to the permission, rather than assuming one universal reporting calendar.
Assessment scope and evidence
This guide is an editorial explanation of the cited official materials, not individual professional sign-off or an agency ruling. The desk assesses accounting and tax against your facts. Legal entitlement and applications should be confirmed with qualified counsel and the relevant authority.
Key facts
| Foreign status | A Thai-incorporated company with at least 50% foreign capital can fall within section 4; trace the ownership chain. |
|---|---|
| List 1 | Prohibited under the ordinary section 8 route; specific section 10 exceptions require separate analysis. |
| List 2 | Minister of Commerce permission with Cabinet approval. |
| List 3 | DBD Director-General permission with Foreign Business Commission approval. |
| Statutory capital floors | THB 2 million for unrestricted business; permission-required business has a THB 3 million floor per business, potentially higher under ministerial calculations. |
| Certificate routes | Section 11 for treaty entitlement; section 12 for qualifying promotion entitlement. |

- 3.During consideration — Answer DBD queries against the filed version and scope; approval timing is not guaranteed.
- 4.Activity matrix and draft contracts
- 5.Shareholders and group ownership chart

Common mistakes
- Assuming every foreign-owned company needs an ordinary FBL.
- Treating THB 3 million of registered capital as satisfaction of every condition.
- Extending one promoted project entitlement to unrelated activities.
- Submitting generic training promises with no owner or completion records.
Repeat questions
There is no ordinary FBL route. Specific section 10 exceptions require their own entitlement and sector-law analysis; they are not a general workaround.
Section 4 uses one-half or more, not only a majority. Check the detailed definition and indirect ownership.
No. Books, financial statements and tax obligations remain separate; any tax incentive needs its own legal basis.
We support capital evidence, forecasts, accounting and tax. Legal eligibility and applications should be confirmed with legal counsel. Inquire for official quotation based on transaction scope.
